GENERAL TERMS AND CONDITIONS SHOE VIP PROGRAM MEMBERSHIP

The Shoe VIP Program (the "Program") is offered by Designer Brands Canada Inc. ("Designer Brands"). By electing to join the Program as a member ("Members"), Members agree to receive advertising, marketing materials and other communications from Designer Brands, except where expressly disallowed as a profile preference. The Designer Brands Canada Inc. logo, The Shoe Co. logo, Shoe VIP logo and other Program logos and taglines are the intellectual property of Designer Brands. By enrolling in the Program, Members agree to all of the terms and conditions of the Program (the “Terms”) and The Shoe Co.’s Website Terms of Use , which are incorporated into these Terms by reference. Membership rules are void to the extent prohibited by law. Provincial and federal fees and taxes on purchases by Members may apply where required by law.
These Terms are separate and independent from the DSW U.S. VIP Rewards Program and the DSW Canada VIP Rewards Program.
Program membership ("Membership") is open to individuals at least 13 years of age. Commercial customers, not-for-profits, organizations and others purchasing items for resale are not eligible for Membership. Associates of Designer Brands (or its affiliates or subsidiaries) and their spouses and children under the age of 13 living at home are eligible for Membership and must adhere to these terms along with any secondary internal policies.
Membership is non-transferable and subject to present and future Program rules. Membership is valid only at participating Designer Brands retail store locations and at related web properties. Enrollment becomes effective and acceptance of these Terms begins when a new Member enrolls in the Program. Designer Brands may change the Program rules, regulations, benefits, conditions of participation or point levels (“Points”) for rewards (“Rewards”), in whole or in part, at any time without notice, even though changes may affect the points already accumulated. Unless prohibited by law, Designer Brands may change or terminate Program partners, withdraw, limit, modify or cancel any Reward, increase the points required for any Reward, modify or regulate the transferability of Rewards or benefits, institute or add reward blackout dates or limit the number of Rewards for use by any one individual on any one purchase.
Unless prohibited by law, Designer Brands may, at any time, terminate or modify the Program and Program rules without any further obligations to Members.
Abuse of the Program, including failure to follow these Program Terms, policies and procedures, the sale or barter of rewards (“Rewards”), products, points or other promotional offers, using multiple Program accounts ("Rewards Accounts") in an effort to abuse the Program and any misrepresentation of fact relating thereto or other improper conduct, as determined by Designer Brands in its sole judgment, may result in cancellation of the Member's Rewards Account, future disqualification from Program participation, forfeiture of all points accrued, and cancellation of previously issued but unused Reward(s). In connection with the enforcement of any of the Terms governing the Program, Designer Brands reserves the right to take appropriate legal action as it deems necessary to recover damages, legal fees and court costs.
Designer Brands reserves the right to interpret and apply the policies and procedures communicated in these Terms. All determinations by Designer Brands shall be final and conclusive in each case. These Terms supersede all previously published terms and conditions.
As a condition of Membership, Members may receive Program updates and other related materials at the discretion of Designer Brands. Designer Brands reserves the right to cease mailing of Program updates and related materials to any inactive Member.

Designer Brands reserves the right to make Points and promotional offers available to select Members based on purchase activity, geographic location, Program participation or information supplied by the Member.
By enrolling in this Program, Members agree that: (i) you will contact Designer Brands directly and give Designer Brands the opportunity to try to resolve any and all disputes before you take any action in court or otherwise; (ii) to the extent permitted by law, any and all disputes, claims and causes of action arising out of or connected with the Program shall be resolved individually, without resort to any form of class action; (iii) any and all Member claims, judgments and awards shall in no event include legal fees; and (iv) and to the extent permitted by law, under no circumstances will Member be permitted to obtain awards for, and Member hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
A Member may cancel his or her Membership at any time by notifying Designer Brands by email at service@theshoecompany.com or by telephone at 1.888.874.6326 . Designer Brands, in its sole discretion, reserves the right to cancel an individual Membership upon notice to the Member.
If there is no Rewards Account activity or Points from any source posted to a Member's Rewards Account for twenty-four (24) consecutive months, the Rewards Account will be closed, including forfeiture of all accrued Points.
EARNING POINTS
Members of the Program earn Points for every dollar spent on any Eligible Product Purchase (as defined below), at The Shoe Co. retail stores in Canada and www.theshoecompany.ca. Points accrue when a Member's Program number is provided at the time of purchase in-store or online. Purchases earn points at the following rates:
- SHOE VIP INSIDER REWARDS MEMBER - Earns 1 Points for every $1 dollar spent on Eligible Product Purchases.
- SHOE VIP INFLUENCER REWARDS MEMBER – Earns 1.5 Points for every $1 dollar spent on Eligible Product Purchases.
Points earned will be rounded to the nearest whole number.
Both Shoe VIP Insider Rewards Members and Shoe VIP Influencer Rewards Members will also receive Points for participating in various activities, including, but not limited to, providing additional express consent for receiving promotional email content and adding the Member’s birthday to the Member’s profile.
Points will post to Member's Rewards Account within approximately 24-48 hours from the later of the date of purchase or date of shipment. No adjustments to Member's Rewards Account will be made after 90 days from the actual purchase date.
Shoe VIP Rewards are issued for promotional purposes only. Rewards will be issued at a rate of $5 per 100 Points earned but Members will have the opportunity to opt-in to higher Rewards denominations through the Member’s Rewards Account. Issued Rewards expire if not used in 90 days. Members in good standing may receive up to a maximum of 50 Rewards per year. Rewards may be used in conjunction with most other discounts or offers toward the purchase of products, not to exceed purchase amount. Some exclusions may apply and there is a limit of one discounts/offers per transaction. There is no limit on the number of rewards that can be used in a transaction. You are eligible for a maximum of, and may use no more than, fifty (50) Rewards per year. Rewards expire after 90 days from the date of issuance. No cash back. One time use only. Not valid for purchasing gift cards (including eGift Cards), past purchases, shipping and handling, excluded products and services, taxes, other fees, or cash. Shoe VIP Rewards can be reissued for use with the original expiry date if items purchased with a Reward are returned. The Shoe VIP program in Canada is provided by Designer Brands Canada Inc. and its terms may change at any time without prior notice. No cash value. No change is provided if the value of the Reward(s) exceed(s) the purchase price. Rewards are non-transferrable.
As of August 25, 2020, Shoe VIP Members will have the option to donate their unexpired Rewards to one or more charitable causes designated by The Shoe Co. To donate, log on to your member profile at theshoecompany.ca and follow the prompts to donate. Full value of Reward amount issued must be donated. Promotional offers, gift cards and other vouchers are not eligible for donations. Designer Brands Canada Inc. will make a donation to the charity selected by VIP Member in an amount equal to the face value of the Reward. Rewards are not redeemable for cash. VIP Member Reward Donations are not tax deductible by the member, and a charitable donation receipt will not be provided to the VIP Member.
Members will also receive promotional offer offers within the Shoe VIP program including Birthday Offers, and Kids product bonus. Shoe VIP “Birthday Gift” is issued for promotional purposes only and is valid at participating The Shoe Co. stores in Canada and www.theshoecompany.ca. To receive Birthday Gift promotional offer, a valid Shoe VIP member must provide their month and date of birth by logging into their account at www.shoevip.ca. Discount applies before applicable taxes. Cannot be used in conjunction with any other coupon, discount or offer, but can be combined with Shoe VIP Rewards. Not valid towards same day exchanges or the purchase of gift cards, previous purchases, returns or exchanges.. Return of discounted items will be for the price actually paid. Limited to 1 redemption per customer per calendar year. Offer has no cash value. Offer expires 30 days from the date of issuance which typically falls on the date of birth provided.
Additionally, Shoe VIP Members who purchase three (3) pairs of eligible kids shoes within a calendar year will receive a $20 Reward. Eligible Kids shoes are identified as youth (sizes 11-7) and toddler (sizes 5-10) OR any sku number starting with an ‘8’. Kids Bonus Rewards are issued for promotional purposes only and are valid at participating The Shoe Co. stores in Canada and www.theshoecompany.ca. Only valid on footwear purchases with a minimum price of $20. Discount applies before applicable taxes. Cannot be used in conjunction with any other coupon, discount or offer, but can be combined with Shoe VIP Rewards. Not valid towards same day exchanges or the purchase of gift cards or previous purchase and same day exchanges. Return of discounted items will be for the price actually paid. Limited to 1 redemption per customer. Offer has no cash value. Offer expires 30 days from the date of membership enrollment.
Point calculations are based upon dollars spent at checkout on Eligible Product Purchases less any dollars spent on goods and services/harmonized sales tax or other value-added taxes, shipping charges, delivery charges, restocking fees, rebates applied at the time of purchase, the dollar amount of available mail-in rebates at the time of purchase of any product or service, the dollar amount of the purchase of Gift Cards and eGift Cards, the dollar amount of any Gift Card or eGift Card offer with purchase or other excluded charges.
Members do not receive Points for the amount of any Reward redeemed or discounts applied. When Members return products to the store or by mail, points previously posted to the Member's Rewards Account for that purchase will be deducted from the Member's Rewards Account. Other exclusions may apply. Points apply only to the first Membership number scanned in connection with any purchase. Reward and Points have no cash value and are non-transferable.
Designer Brands is not responsible for communications, including Rewards, lost due to change of address or other contact information. Points that remain on Member's Rewards Account expire and are forfeited if the Program is terminated or the Member's Rewards Account is closed due to inactivity or for any other reason. In the event that a Member returns merchandise that was partially or wholly paid for with a Reward, the Reward used in connection with such a purchase shall not be reissued and no Points representing such Rewards shall be reissued to such Member's Rewards Account.
Rewards Accounts closed for inactivity or for any other reason shall forfeit accrued Points and will not be reinstated upon reactivation of a Rewards Account. Designer Brands reserves the right to change the Program at any time without notice, including the imposition of new Point expiration terms.
All Points and subsequent Rewards must be earned and used according to the Terms.
Points and Rewards are not transferable and may not be combined among Members or conveyed by any means to anyone, including through a Member's estate, and may not pass to Members' heirs, beneficiaries, administrators or executors. Accrued Points do not constitute property of the Member. Accrued Points are not transferable by the Member (i) upon death, (ii) as part of domestic relations proceedings, or (iii) otherwise.
"Eligible Product Purchases" means purchases of non-excluded products, such as footwear, handbags and accessories, at all participating Designer Brands retail store locations and at related web properties. Gift Card purchases (including eGift Cards) are excluded. Designer Brands has the right to make the final decision on whether a purchase qualifies as an Eligible Product Purchase.
ADDITIONAL SHOE VIP “INSIDER” REWARDS®
Members who enroll as Shoe VIP Insider Members receive all of the base Program benefits above, plus the following:
- Free Shipping; and
- 60-day in-store returns.
SHOE VIP “INFLUENCER” REWARDS
Shoe VIP Insider Rewards Members who reach $300 of spend in a calendar year will automatically be upgraded to Shoe VIP Influencer Rewards status. Shoe VIP Influencer Rewards Members receive all of the benefits of Shoe VIP Insider Rewards Members but also receive additional benefits, including:
- 365-day in-store returns; and
- Special opportunities to earn Points through exclusive Influencer Rewards Member events.
Shoe VIP Influencer Rewards “VIP Qualifying Spend" is tracked and reported separately from total Program points (which include bonus Points). Membership, including Influencer status, is not transferable. A Shoe VIP Influencer Member Rewards Account may only be used by the Member named on the card. Influencer Membership status may be revoked by Designer Brands after twenty-four (24) consecutive months of inactivity, and all accrued Points shall be forfeited.
PRIVACY POLICY
The information provided by the Member will be handled according to the Designer Brands Privacy Policy. If a Member is interested in learning more about Designer Brands’ privacy practices, please visit shoevip.ca and click on the Privacy Policy link in the bottom navigation bar.
SEVERABILITY
If a court of competent jurisdiction or any government agency determines that any provision of these Terms is void or unenforceable, that provision will continue to be enforceable to the extent permitted by that court or agency, and the remainder of that provision will no longer be considered as part of these Terms. However, all other provisions will remain in full force and effect.
WAIVERS
Designer Brands may delay enforcing our rights under these Terms without losing the right to do so in the future. In addition, Designer Brands failure to exercise our rights on any one occasion, or even on more than one occasion, does not constitute a waiver of our rights for any future occasion. All waivers must be in writing.
